同英语相比较，汉语里的人称代词用得不多。在英语里，凡是能用人称代词取代名词的地方，都用代词，而不重复名词。因此，人称代词在英语文章里比比皆是。翻译时，是不是每一个人称代词都能译成相对应的汉语代词，这不能一概而论。但有一点应提请注意：并不是每一处英语人称代词都适宜于译成汉语代词，特别是在指代不清而容易引起误解或者不符合汉语使用习惯的情况下，须谨慎下笔。这是因为汉语有重复名词的倾向，而不会过多使用人称代词。翻译英语人称代词，应以服从汉语习惯为前提，不能简单地以“对等”方式处理。翻译法律文件，有一点更为重要，那就是即使可以用汉语人称代词来翻译对等的英语人称代词，也要避免使用“他”、“它”、“他们”、“它们”之类的代词，这是因为法律语言属于很正式的文体，只有用一个“其”字来代替这些代词才是最合适的。与此相吻合，英语的物主代词“his” 、 “its” 和“their”也不能译成“他的”、“它的”和“他（它）们的”，而应该用“其”字取而代之。翻译英语人称代词和物主代词不外乎下列三种办法：

1. 译成汉语代词

(a) Without prior written approval, no Party shall assign any and all of its rights and interests and delegate its responsibilities under this Agreement to any third party.

任何一方未经事先书面批准，不得将其在本协议项下的任何和全部权利和权益让与及将其在本协议项下的责任委托给任何第三方。

(b) If the other two Parties exercise their preemptive right to purchase all (but not part) of the Transferred Equity Interest, they shall, within ninety (90) days of receipt of the Transfer Notice, purchase the Transferred Equity Interest at a price equal to the selling price set out in the Transfer Notice.

若另外两方行使其优先权购买全部（但不是部分）转让股权，则应在收到转让通知后的九十（90）天内以相等于转让通知内列明的出售价的价款购买转让股权。

(c) Each Party and any of its affiliates shall maintain the secrecy of all Proprietary Information that may be disclosed or furnished to it by the CJV or the other Party and its affiliates, and neither of the Parties or their affiliates shall disclose or reveal any such Proprietary Information to any third party without explicit written authorization from the other Party.

各方及其关联公司应对合作经营企业或另一方及其关联公司向其披露或提供的所有专有信息保密；未经另一方明示的书面授权，任何一方或其关联公司不得向任何第三方披露或透露任何该等专有信息。

2. 译成所代替的名词

(a) Although credit cards are becoming a more acceptable part of the financial scene, they are still regarded with suspicion by many as being a major part of the "live now and pay later " syndrome. Along with hire-purchase, rental and leasing scheme, they provide encouragement to spend more money.

虽然信用卡正在成为金融业更能接受的付款方式，但是许多人仍然心存疑虑，把信用卡看成是“寅吃卯粮”生活方式的主要表现。信用卡同分期付款、租赁等赊购方式一样，鼓励人们多花钱。

(b) This Contract is executed in Chinese. If necessary, it may be translated into other languages.

本合同以中文文本签署。如有必要，本合同可译成其他文字。

(c) This Agreement constitutes the entire agreement between the parties with respect to its subject matter, and no variation of this Agreement shall be effective unless made in writing and signed by all of the parties.

本协议构成双方关于本协议标的的完整协议，对本协议的任何修改，只有通过书面形式并经双方签字后方能生效。

3.省略不译

(a) When a Party wishes to transfer all or part of its registered capital contribution to a third party, it shall provide a written notice to the other Party.

一方欲将其全部或部分注册资本出资额转让给第三方时，应向另一方提供书面通知。

(b) The formation of this Contract, its validity, interpretation, execution and settlement of disputes in connection herewith shall be governed by the laws of the People's Republic of China.

本合同的订立、效力、解释、执行及合同争议的解决，均受中华人民共和国法律管辖。
