3.不附履约保证的转让
【例3】
No party may assign its rights or obligations under this Agreement without the prior written consent of the other parties，which consent shall not be unreasonably withheld， provided that the [ Licensor] may assign this Agreement and its obligations hereunder to any successor to its business by merger or consolidation or to any party acquiring substantially all of the assets of the [ Licensor ] ’s journal business.
参考译文：未经其他方事先书面同意（不得无理拒不给予此种同意），任何一方不得转让其在本协议顼下的权利或义务。但[许可方]可以将本协议及其项下的义务转让给通过合并方式继受其业务的任何人，或者转让给取得[许可方]实质意义上的全部资产的任何一方。
本例中转让方没有向协议的其他方担保受让方会履行转让方的义务。正如上例中所讨论到的一样，如果转让方向其他方提供合同将会得到如周转让没有发生过一 般之同样履行，则在业务重组的情形下，不经其他方事先同意而进行转让是可以接受的。本条可以使用上例中的措辞进行修改：“Provided the assigning party guarantees the performance of and causes the assignee to assume in writing all obligations of the assignor under this Agreement".
4.限制不对等的转让
【例4】
User may not sublicense, assign or transfer this license or the Licensed Program. Any attempt to sublicense，assign or transfer any of the rights，duties or obligations hereunder is void.
参考译文：用户不得将本许可或被许可程序进行再许可或转让。任何企图再许可或转让本协议项下的权利，责任或义务的行为无效。
对于转让的限制应当适用于协议各方——许可方及被许可方。因此，本例是不可接受的，因为它只禁止被许可方转让，而不限制许可方转让。
(一）法理与判例
《中华人民共和国合同法》箄79条规定：“债权人可以将合同的权利全部或者部分转让给第三人，但有下列情形之一的除外（The creditor may transfer all or part of its rights in a contract to a third party，except in any of the following situations) ： ( —）根据合同性质不得转让（The contract may not be transferred, according to its nature) ； (二）按照当事人约定不得转让(The contract may not be transferred, according to an agreement made by the parties);(三）依照法律规定不得转让（contract may not be transferred， according to the provisions of laws)。第84条规定：“债务人将合同的义务全部或者部分转移给箄三人，应当经债权人同意（The transfer to a third party of all or part of the debtor's obligations as prescribed in the contract shall be approved by the creditor)。第87条规定：“法律、行政法规规定转让权利或者转移义务应当办理批准、登记等手续的”依照其规定” (If the transfer of rights or obligations shall go through the approval and registration procedures according to the provisions of laws or administrative regulations，the parties shall act accordingly) 。
合同权利和义务的全部或部分的转让或转移常见于中外合资经营企业合同之中。根据《中外合资经营企业法实施条例》（Regulations for the Implementation of the Law of the People's Republic of China on Sino-foreign Joint Ventures)规定：合营一方向第三方转让全部或部分出资额必须符合以下条件：1.须经合营他方同意，并经审批机构批 准；2.合营一方转让其全部或部分出资额时，合营他方有优先购买权（Pre-emptive right): 3.合营一方向第三方转让出资额的条件，不得比向合营他方转让的条件优惠。违反上述条件的，其转让无效（No assignment shall be effective)。
