【原文】
The parties hereto shall，first of all, settle any dispute arising from or in connection with the contract by friendly negotiations. Should such negptiations fail, such disputes may be referred to the People’s Court to have jurisdiction on such disputes for settlement in the absence of any arbitration clause in the disputed contract or in default of agreement reached after such disputes occur.
【译文】
双方首先应友好协商解决因合同而发生的或与合同有关的争议。若协商未果，合同中又无仲裁条款约定的或争议发生后未就仲裁达成协议的，可将争议提交有管辖权的人民法院诉讼解决。
【赏析】
1.from or in connection with是两个词连用，译为“由于或与之有关的”,说明范围。
2.should such negotiations fai丨是虚拟语气条件句的倒装结构，译为“如果......”。
3.such disputes may be referred to按照中文习惯，可以调整逻辑主语的位置，将“disputes”放到宾语的位置，译为“可将争议提交”。
(九）不可抗力条款(Force Majeure)
例9
【原文】
In case of force majeure，the affected party shall notify by telex or cable the other party of the accident as soon as possible and send by registered air-mail to the other party the evidence issued by the local government within 14 days from the accident.
【译文】
如果发生不可抗力，受影响的一方应以电传或电报尽快通知对方该事件并在该事件发生后14天内以航空挂号信形式寄送当地政府出具的该事件的有关证明。
【赏析】
1.in case of与in the event that意思相近，译为“如果,在......情况下”。
2.within 14 days from the accident 时间状语应提前译出。
(十）杂项条款(Miscellaneous)
例10
【原文】Notes
All notices required or permitted by this agreement shall be in writing and shall be deemed sufficient where sent by certified mail to the receiving party at the address set forth above or at such other address as that party may have designated in writing.
【译文】通知
本协议所要求或允许的通知应为书面方式且应视为按上文规定的地址或其他该方书面指定的其他地址以保证邮件充分送达到收件方。
【赏析】
1.required or permitted和set forth above为过去分词作后置定语，翻译时前置。
2.shall be in writing and shall be deemed sufficient使用两个 shall，语气正式不容置疑，翻译的时候也应采用相同的语气。
3.“such...as”译为“像……一样的……”，as后面的that引导介词宾语从句，译为“该方书面指定的其他地址”。
