涉外民事上诉书是诉讼当事人及其法定代理人不服地方法院的第一审民事判决，向上一级法院提出上诉，请求撤销、变更原审裁判或重新审判而提出的书状。我国涉外民事上诉书的写法最重要的是写明上诉理由、上诉要求，并分别论证其合理合法性，以便第二审人民法院接受并进行改判。涉外民事上诉书主要的内容包括：
第一，上诉人姓名。当事人是法人或其他组织的，还应当写明法人和其他组织的全称，法定代表人或主要负责人的姓名和职务。
第二，原审法院的名称、案件编号和案由。
第三，上诉理由。上诉理由必须针对原审判决的错误所在，是上诉人向上诉法院对一审法院在认定事实和使用法律方面持有异议的全面陈述。上诉的请求和理由决定着二审法院对案件的审理范围。针对原审判决适用法律不当及诉讼程序上的错误，提出予以纠正的法律依据。
第四，尾部。分两行写明“此致”、“xx人民法院”，左下角写出附项：本上诉书副本x份。右下角由上诉人签名，注明上诉日期。
它的翻译要点是：
第一，熟悉上诉书中专业术语的表述。例如：在我国的上诉书中“上诉人”翻译为appellant；“被上诉人”译为 respondent 或者appellee；“一审法院”译为the first-instance court;“二审”译为the trial of second instance;“抗辩权”译为defensive right; “孤立执法”译为the isolated law execution；“违法裁量”译为illegal ruling；“越权司法”
可译为entitled law application等。在英美国家的上诉书中经常出现discretion，译为“自由裁量权”，dismiss the appeal 译为“驳回上诉”。
第二，我国的民事案件中的当事人提起上诉，往往先说明上诉的原因，然后列举事实，表明己方的观点，陈述上诉理由。翻译上诉书的时候会经常用到在文中起到过渡作用的表达方式，如：
①“上诉人因xx一案，不服xx市中级人民法院第x号《民事判决书》，现依法提起上诉”可翻译为Appellant hereby files an appeal from the Civil Judgment with the case number ... issued by .…. Intermediate People's Court of the PRC in respect of the case that..., and hereby files its appeal according to law.
②在上诉书中表达已方观点，“首先，上诉人对本案的基本和主导观点：……”通常翻译为Firstly,the Appellant's basic and leading opinions about the case follow:.….“其次，上诉人基于并不完全认可的一审法院判决的几点抗辩观点：……”可以翻译为Secondly, the following are some defensive opinions of the Appellant based on the first-instance judgment which cannot be fully accepted:.
③上诉书中对原一审法院所作的判决持有异议的表述。如：一审法院以……为由，判决上诉人……与法无据。The ruling of the first-instance court ordering the Appellant to do ... by reason that ...has no basis in law；又如：一审法院对……的判决，存在明显的执法错误。The first-instance judgment... is explicitly wrong in its implementation'of law.
④上诉人在表达请求的时候，常常会说“为此，上诉人恳请二审法院，能在基于依法查明本案全部事实的基础上，均衡执法，做出公正的裁判！”可翻译为Therefore，the Appellant moves the second-instance court to render a fair judgment on the basis of ascertaining all facts of this case.
第三，英美上诉书主要包括四部分：事实陈述，原判决的错误之处，上诉人提出的论据，上诉请求，各部分中间也有一些惯用的表达方式。
①事实陈述部分常用This is an appeal from the judgment of...dated...(本上诉因xx法院某年某月某日所做判决而提起）。
②在表达某种请求时常用：It is respectfully submitted that the learned trial Judge, erred as follows(一审法官阁下所犯的错误如下：）；又如The Appellant respectfully submits that this appeal should be allowed and that the judgment in favor of the Respondent granted at the trial court be reversed.译为“上诉人恳请准予上诉，并撤销初审法院判决。”
