1. 第一段located对以省略，attorney（业务或法律事务中的）代理人，（美）律师。这里指“受权人”。

2. 第一条中“经营”、“管理”是两个并列的动词，译文只用 manage (管现，经费，处理，控制等）一个多义词就够了。
