授权委托书是当事人把自己的民事权利授予委托代理人的证明文书，即指一个人授权他人作为代理人为授权人利益从事某类行为或某一特定行为的一种书面文件。授权委托书可分为一般授权委托书(general power of attorney)和特别授权委托书(special power of attorney）两种。前者的授权是总括性的或全权的，而后者所授权力是特定的，即这种委托书将代理的权力仅仅局限在一项交易的范围之内或某一特定事项上。中外授权委托书的基本格式类似，主要分为如下三部分：
第一部分，首部。①标题。写明“民事授权委托书”或“委托书”。②民事委托人和代理人基本情况。
第二部分，正文。写明代理事项的内容、权限和范围，委托权限、有无转委托和委托期限等。注意一定要列明代理权限范围，并写上“全权代理”、“特别代理”、“诉讼代理”。
第三部分，尾部。委托人签字盖章，写明具书时间。
授权委托书的翻译要点：
第一，注意授权委托书中频繁出现的正式程度较高的词或短语的翻译。例如一份英文授权委托书及中译本，英文委托书措辞很正规严谨，例如使用appoint,act on behalf of, bring a file against, breach of the contract, in regard to, pursuant to the judgment,in the event of等；同样,译文的措辞也体现了法律文件的严谨,appoint被译为“委派”，act on behalf of 被译为“代理”，bring a file against 翻译为“提起诉讼”，breach of the contract 译为“违约”,in regard to 译为“就”,pursuant to the judgment 译为“依法院判决”，in the event of 译为“如果”。还有例如，中文的授权委托书及英文译文，中文委托书中有很多法律专业术语，如“诉讼代理人”，“答辩”，“出庭”，“反诉”，“调查取证”，“递送”，“和解”，“法院调解”，“放弃或变更诉讼请求”，“上诉”，“再审”，“证据保全”等等，翻译的时候必须用词准确，找到法律英语中对应的术语，不能妄自造词。该委托书的英文译文就处理得非常好，“诉讼代理人”翻译为agent ad litem,“答辩”翻译为answer,“出庭”翻译为appear before the competent court hearing,“反诉”译为counter-claim,“调查取（证）”译为investigate and collect,“递送”译为deliver，“和解”译为make compromise，“法院调解”译为mediation presided over by the court，“放弃或变更诉讼请求”译为waive or modify the claims,“上诉”译为 appeal，“再审”译为retrial，“证据保全”译为evidence preservation。
第二，注意授权委托书中常用套句的翻译。中英文授权委托书中都有一些常用的套句，翻译的时候不妨对号入座，既可以节省时间，又能使译文更加专业，例如：
①I,….,hereby appoint.to act on behalf of.. in regard to.…我××特此委托xx就……一事代表xx。
② We .. hereby appoint and empower .. to be our agent ad litem with respect to ….我们xx特此授权委托xx关于……一事为我们的代理人。
③ Now this deed witnesseth that I appoint .…… to be my corporation's true and lawful attorney and in the name of my corporation to do and execute all or any of the following acts, deeds and things...现在所见证的委托书是我委托××为我公司的正式和合法代理人，代理人得以我公司的名义行使和执行下列行为、文书和事务：……
④ And I hereby agree to ratify and confirm all that the Attorney may do or cause to be done in pursuance of this Deed which I declare shall continue in force until notice of the revocation hereof shall be actually received by the Attorney for the time being acting in exercise of the powers hereby conferred.我特此同意批准和确认代理人按照此委托书所作的或将作的行为，我宣布此委托书将继续生效直到代理人在履行本委托书授予的权利过程中收到撤销此委托书的通知为止。
⑤ We further grant our recognition to the acts made and the documents signed by the attorney mentioned above within the limits of the powers granted herein.我们认可上述指定的委托人在授权范围内所做的行为及签署的文件。
⑥ We hereby confirm that this Power of Attorney shall remain in full force from the date of signature and/or seal through the completion of the matters as set forth in this Power of Attorney.我公司特此确认该授权委托书自签署之日起及执行期间有效。
⑦ In witness whereof we cause this Power of Attornéy to be duly signed and/or sealed. 我们于证人面前在这份授权委托书上签字盖章。
