【原文】  Indemnification of Lessor
Lessee shall and does hereby agree to protect and save Lessor harmless against any and all losses or damage to equipment by fire, flood, explosion, tornado or theft and Lessee shall and docs hereby assume all liability to any person whomsoever arising from the location, condition or use of equipment, and shall indemnify Lessor of and from all liability, claim and demand whatsoever arising from the location, condition, or use of equipment whether in operation or not, and growing out of any cause, and from every other liability，claim and demand whatsoever during the term of this Lease of arising while equipment is in the possession of Lessee. Lessee also agrees to promptly reimburse Lessor, in cash, for any and all personal property taxes levied against equipment and paid by Lessor.
【译文】 出租人保证赔偿
承租人应由此同意保护并使出租人免于任何因火灾、洪水、爆炸、飓风、偷盗造成的任一和全部损失或对设备造成的损害。承租人应承担所有因设备位里、条件、使用所产生对 任何人的责任。而且应保证赔偿出租人全部的责任、索賠或要求，无论是基于设备的位 置、条件或使用与否，还是任何原因，以及保证赔偿无论在租约期间或承租人占用设备时 所产生的其他责任、索赔和要求。承租人也同意立即以现金方式补偿出租人所支付的对 设备征收的所有动产税费。

【赏析】
本条款最大的特点是有很多叠加词组，shall and does,protect and save,any and all, losses or damage,of and from.claim and demand。这是合同中常见的表达方式，一方面可以起强调作用,一方面可以最大限度表述所约定的条款，避免由于用词单一而可能产生
的意思不明确或不完整。

(六）解除与终止条款(Rescission    and Termination)
例6
【原文】
In case of inability to fulfill the contract or to continue operation due to heavy losses in successive years as a result of force majeure. the duration of the cooperative venture and the contract shall be terminated before the time of expiration after being unanimously agreed upon by the board of directors and approved by the original examination and approval authority.
【译文】
如果因不可抗力致使在下一年度遭受严重损失而不能展行合同或继续经营，经董事会一致同意，并经原审批机关批准，合作期限和本合同应在期限届满前终止。
【赏析】
1.条款后半部分两个画线成分都是时间状语。其中一个实际上是前提条件，因此翻译的时候可以提前译出。
2.“in case of”引导一个假设的情况，译为“如果”。
3.“inability”后的不定式实际上是补充说明inability，翻译时可将名词转换为动词，译为“不能”做什么。

(七）违约条款(Default Clauses)
例7
【原文】
Subject to special provisions explicitly of this Agreement thereunder, the other party shall be entitled to notify the party in default by registered letter； Unless satisfactory remedial measures are taken within a period of two weeks, the party demanding remedy shall be entitled to claim compensation for losses and damages.
【译文】
根据本协议项下明确的专门规定，本协议的另一方有权以挂号信的方式通知违约方；除非在两周内采取符合要求的补救措施，否則要求补救的一方有权就其遭受的损失和损害提出赔偿。

【赏析】
1.在合同英语中，“subject to”表示“在……条件下”，相当于“depending on ...","as a condition”或“only if ...”。从属连词“unless”引导条件状语从句，含否定义。
2.“the party in default”指违约方。
3.“shall be entitled to do”指应被授权，翻译时可转为主动态，译为“有权做……”。
4.时间状语“within a period of two weeks”翻译时调整至句首。
