两单词均有“转让”的含义。区别在于negotiability主要用于指事业票据议付形成的转让;而assignability则主要用于指合同的转让。negotiability所指的转让为一种完全转让,受让人 (assignee)得到票据所附的一切产权和权利,受让人不必通知债务人,也不受票据前手瑕疵之影响。就assignability而言,如果不通知债务人(debtor),则不能视为是一种完全转让(not complete)。
“Negotiability ( which pertains to commercial paper) differs from assignability (which pertains to contracts in general) because an assignee traditionally takes title subject to all equities, and an assignment is not complete without notice to the debtor, whereas an endorsee takes free of all equities and without any notice to the debtor. ”Cf.
