英文合同长句的翻译是对译者翻译综合技能的考验。由于篇幅巨大，没有人能对句子的结构一目了然，必须借助句子的语法结构分析来查明各句子成分之间的相互关系。因此合同长句的翻译首先是对译者语法基本功的极大挑战。其次，长句之所以冗长的重要原因就在于修饰成分（定语、状语、补语）众多，如何安排修饰成分与被修饰成分之间的语序成为另一大挑战。
【例1】
ABC's board of directors, or，if appropriate, any committee administering ABC's 1995 Stock Option Plan (the“Stock Option Plan”) shall，prior to the Effective Time, terminate，or adopt such resolutions or take such actions as may be required to adjust， the terms of all then outstanding employee stock options to purchase ABC Shares granted under the Stock Option Plan (each，an “Employee Option”) and the terms of the Stock Option Plan to provide that at the Effective Time，each Employee Option outstanding immediately prior to the Effective Time will be deemed to constitute an option to acquire， on the same terms and conditions as under such Employee Option，the number of shares of XYZ Common Stock as the holder of such Employee Option would have been entitled to receive pursuant to the Merger Agreement had such holder exercised such Employee Option in full immediately prior to the Effective Time，at the price provided for in the Merger Agreement and any such shares issuable under such Employee Options shall dilute only the shares to be issued to holders of ABC Shares in the Merger.
翻译步骤：
第一步：通读全句，找出句子的主干成分。
全句的主语并不复杂，即: ABC's board of directors, or，if appropriate, any committee administering ABC's 1995 Stock Option Plan (the“Stock Option Plan” ) ABC 公司董事会或者（适当情况下，也可以是）管理《ABC公司1995股票期权计划》的任何委员会。
谓语部分是：“shall…terminate，or adopt”译为“应当终止或通过”。句中位于“shall”和 “terminate”之间的部分是修饰谓语部分的时间状语，即 : “prior to the Effective Time"译为：在生效日期之前。按汉语的语言习惯，时间状语通常放在谓语之前，因此谓语和时间状语部分的译文经过合并后为：“应当在生效日期之前终止或通过”。
在查找宾语的过程中，我们发现除了 terminate，or adopt (such resolution)外还有另一个并列的谓语成份，即or take ( such actions)，于是巳经译完的主谓部分应当予以修正，译文变为：“应当在生效日期之前终止或通过……或者采取……”。本句中共有三个谓语动词terminate，adopt和take，其中前两个共一个宾语，即such resolution, 对应于最后一个动词“take”的宾语是such actions。
至此，句子的主干成份全部找出，经合并，其译文为：
ABC公司董事会或者（适当情况下，也可以是）管理《ABC公司1995股票期权计划》的任何委员会应当在生效日期之前终止或通过此种决议或者采取此等行动。
第二步：找出各主干成分的修饰成分。
