(b) any breach causes the Company irreparable harm，in the event of any breach or threatened breach of this Article by the Recipient or any of its Representatives，the Company is entitled to equitable relief, including injunctive relief and specific performance, [ without the posting of a bond or other security and] without proof of actual damages.
Section X. 08, Indemnity. The Recipient shall indemnify and defend the Company and its Affiliates against all damages，losses，costs，liabilities and expenses (including [ reasonable] legal fees and the cost of enforcing this indemnity)，arising out of or relating to any unauthorized use [ or threatened use ] or disclosure [ or threatened disclosure ] by the Recipient or any of its Representatives of the Confidential Information or any other violation of this Article.
Section X. 09. Survival. Despite any other provision of this Agreement，this Article survives any termination of this Agreement or the consummation of the transactions that this Agreement contemplates.
(二）条款内容
较为完备的保密条款的内容通常包括：
机密信息的范围或定义（Definition/Scope )，保密义务（Obligation to Maintain Confidentiality),未经授权的使用（Unauthorized Use)，允许获得披露的人（Permitted Disclosee)，终止(Termination )，强制披露(Compelled Disclosure )，禁止令救济 (Injunctive Relief),赔偿（Indemnity)，继续效力(Survival)等规定。
(三）法理及判例
Injunctive relief (禁止令救济）
禁止令最初的含义是停止侵权。禁止令（Injunction)，也称禁令、强制令，是指在诉讼过程中，侵权明显成立的，法院要求侵权当事人实施某种行为或一系列行为，或禁止一定行为的命令。目的是在实质争议解决前，防止侵权行为的重复或预期发生，保护当事人正当权益。这是英美法系国家在知识产权诉讼中常用到的救济手段， 肇始含义是停止侵权。在我国，停止侵权是民诉法和民法通则中规定的民事责任之一，是法院查明事实后在最终裁判时要求侵权人承担责任的方式之一，但上述两个法律及有关的知识产权法律没有规定法院可以在诉讼过程中行使该项权利。可见， 我国没有禁止令制度。然而，《最髙人民法院关于贯彻执行〈中华人民共和国民法通则〉若干问题的意见》第162条规定，“在诉讼中遇有需要停止侵害、排除妨碍、消除危险的情况时，人民法院可以根据当事人的申请或者依职权先行作出裁定。”该条规定为法院在诉讼过程中及时制止侵权提供了法律依据，实际上开了我国禁止令制度先河。但由于该规定较原则，未明确具体条件和程序等，故司法实践中法院很少灵活运用该条规定有效制止侵权人继续实施侵权行为，减少因侵权带来的损失。因 此，有必要对民法通则若干意见第162条进行解释和扩张，在借鉴基础上建立完善我国的禁止令制度。①
